Infibeam Transfers Ecommerce Platform to Rediff in Rs 800 Crore

Infibeam Avenues has signed a Business Transfer Agreement (BTA) with Rediff.com India to hand over its Ecommerce Platform Infrastructure Services business. The deal, worth Rs 800.39 crore, will be executed as a slump sale on a going concern basis, pending shareholder and regulatory approvals.

Once completed, Infibeam’s stake in Rediff will rise from 54.1% to 82.7%, ensuring the company retains strategic oversight. This move is aimed at separating business verticals, with Infibeam focusing on digital payments via CCAvenue and artificial intelligence services through Phronetic.AI.

Infibeam Rediff Deal

The transferred business has a strong client base, including large enterprises and government institutions. Notably, it developed and deployed the Government eMarketplace (GeM), India’s national procurement portal, using Infibeam’s proprietary enterprise ecommerce framework.

Rediff plans to integrate this technology into its RediffOne business productivity suite, which already includes ERP, HRMS, CRM, and productivity tools. The ecommerce platform will also be offered separately as the Rediff Ecommerce Platform.

Deal Details and Assets

As part of the agreement, Rediff will acquire key assets, liabilities, intellectual property, talent, and customer contracts related to the ecommerce platform. Infibeam will maintain strategic influence through its higher stake, while collaborating with Rediff on technology, AI, and platform partnerships.

In FY25, Infibeam’s overall revenue was Rs 3,546 crore with EBITDA of Rs 111 crore, while the ecommerce platform business generated Rs 180 crore in revenue and Rs 137 crore in EBITDA. These numbers highlight the maturity and independence of the two divisions, justifying the separation.

Financial Performance

Rediff is exploring capital-raising options, including a possible IPO, to expand further into the enterprise SaaS and digital commerce markets. With the added ecommerce capabilities, Rediff aims to strengthen its position as a complete business technology provider.

This deal positions both companies to focus on their core strengths, Infibeam in payments and AI and Rediff in enterprise solutions and ecommerce.
